Shardul Amarchand Mangaldas & Co Advises on Acquisition of Pizza Hut’s South and West India Franchise

Shardul Amarchand Mangaldas & Co (SAM & Co) advised Dodsal Group, in the sale of Dodsal Hospitality Private Limited. Dodsal Hospitality Private Limited has exclusive rights to operate Pizza Hut in South and West India, and it operates 81 Pizza Hut outlets across 8 states. This transaction has resulted in Sapphire Foods India Private Limited becoming one of the largest owners of the Pizza Hut franchise in India.

SAM & Co team was led by Managing Partner, Ms. Pallavi Shroff. The supporting team included Ms. Shilpa Mankar Ahluwalia, Partner; Ms. Divi Dutta, Principal Associate, and Ms. Sumi Saikia, Associate.

The transaction involved the acquisition of Dodsal Hospitality Private Limited (“Company”) by Sapphire Foods India Private Limited (“Purchaser”), from Dodsal Lifestyle Mauritius Limited, Dodsal Lifestyle Limited, BVI, Dodsal NKI Mauritius Limited, Mr. Rajen Kilachand, Mr. Samir Rajen Kilachand, Mr. Nikhil Rajen Kilachand, Ms. Nayantara Rajen Kilachand and Mrs. Nina Rajen Kilachand (“Sellers”).

SAM & Co represented the Sellers in connection with the structuring of the transaction between the Purchaser and the Sellers; and documentation and negotiations on behalf of the Sellers. The transaction was closed on September 15, 2015.
