Shardul Amarchand Mangaldas & Co Advises on Investment in Parijat Industries by Rabo Equity Advisors

Shardul Amarchand Mangaldas & Co (SAM & Co) advised India Agri Business Fund II Limited and REAL Trust II (Investors) on their investment in Parijat Industries (India) Private Limited (Company).

Shardul Amarchand Mangaldas & Co Team advised the Investors on all aspects to take the transaction to completion.

The investment in the Company is split into three tranches, whereby the Investors will subscribe to compulsorily convertible cumulative preference shares issued in two tranches and the Investors will purchase certain equity shares of the Company from the promoter family.

The Private Equity Team was led by Mr. Ragnubir Menon, Partner, and included Ms. Natashaa Shroff, Principal Associate, Mr. Aritra Roy, Associate, Ms. Srishti Maheshwari, Associate, and Ms. Avlokita Rajvi, Associate.

The other parties involved in the transaction were Mr. Keshav Anand, Mr. Sharat Anand, Mr. Vikram Anand (Promoters), and other members of the Anand family (Sellers/Shareholders).

Other advisors to the transaction were Business Law Chambers (legal advisor to the Company and the Promoters) and Edelweiss Financial Services Limited (financial advisor to the Company).

The deal was signed on June 8, 2016 and was closed on June 17, 2016.
